We like to be involved from the very start of negotiations and often this helps in avoiding delays and disputes later.

The starting point is the negotiation of “Heads of Terms” and the importance of getting these right cannot be underestimated.

Once the Heads of Terms are agreed we then become instrumental in the “due diligence” process, that is, the investigation and disclosure of everything that makes the company tick – information about employees, suppliers, debtors, creditors etc.

Of course we’ll also ensure that the terms of the Agreement itself are accurate, balanced and commercially enforceable.

We are also able to handle all legal elements of the funding agreements with the financial backers to ensure that the whole deal ties together.
